Terms and Conditions
	Affiliate Terms and Conditions User Agreement To be an authorized affiliate of A View From The Ridge, Inc., you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the www.AViewFromTheRidge.com and www.TheGreatOnesOnline.com services as an affiliate. By signing up for the A View From The Ridge, Inc., affiliate program, you indicate your acceptance of this agreement and its terms and conditions. 1) Term of the Agreements: The term of this Agreement will begin upon A View From The Ridge, Inc.’s (referred to herein as “www.aviewfromtheridge.com”) acceptance of your affiliate application and will end when terminated by either party. Either you or www.aviewfromtheridge.com may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. You are only eligible to earn commission fees on www.aviewfromtheridge.com sales occurring during the term of this Agreement. 2) Modification of the Agreement: www.aviewfromtheridge.com may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on the www.aviewfromtheridge.com site. If any modification is not acceptable to you, your only action of recourse is to terminate this Agreement between yourself and www.aviewfromtheridge.com. If you continue to participate as a www.aviewfromtheridge.com affiliate after the www.aviewfromtheridge.com has posted changes or new Agreement on the www.aviewfromtheridge.com site, this will constitute binding acceptance of the changes. 3) Limitation of Liability under this Agreement: www.aviewfromtheridge.com will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the www.aviewfromtheridge.com services, even if www.aviewfromtheridge.com has been advised of the possibility of such damages. Further, www.aviewfromtheridge.com's aggregate liability arising with respect to this Agreement and the www.aviewfromtheridge.com services will not exceed the total monthly fees you paid as an affiliate for up to a period of one year under this Agreement. 4) Independent Investigation: You acknowledge that you have read this Agreement between www.aviewfromtheridge.com and yourself as an affiliate and agree to all terms and conditions. You acknowledge that www.aviewfromtheridge.com may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those stated in this Agreement. You acknowledge you have independently evaluated the desirability of participating in the www.aviewfromtheridge.com affiliate program and have not relied on any representation, guarantee or statement other than as set forth in this Agreement between you and www.aviewfromtheridge.com. 5). www.aviewfromtheridge.com, A Florida Corporation, Affiliate Commissions and Payments Procedures: While the amount of commissions due to affiliate members for all products offered for sale may vary in the sole and absolute discretion of www.aviewfromtheridge.com, as a general rule the commissions will be as follows: For a new www.aviewfromtheridge.com user that signs up for www.aviewfromtheridge.com services using the Affiliate code, the affiliate will receive a commission fee of 20% of the revenue paid by that user for the www.aviewfromtheridge.com services. This is known as a “first-tier affiliate commission.” For such a sale as described, if an affiliate who made the direct referral is a registered sub-affiliate of another affiliate, the first affiliate will be paid a commission fee of 5% of the revenue received for www.aviewfromtheridge.com services of the sub affiliate’s user. This is known as a “second tier referral commission.” The sub-affiliate in this situation will be paid a first tier commission for the new www.aviewfromtheridge.com user signed up under their Affiliate code. www.aviewfromtheridge.com only pays two levels of affiliate commissions for users signed up using the Affiliate codes. A commission will only be credited to an active affiliate when the user signs up using the Affiliate's code and after the user has made full payment to www.aviewfromtheridge.com. If an Affiliate designated user later receives a refund or a charge back is issued by the credit card holder whose credit card was used to pay for that user's account, any commissions that were credited to both first tier and second tier affiliates will be deducted from the next monthly payment. If there is no next monthly payment, the affiliate will be billed and hereby agrees to be bound by law to reimburse www.aviewfromtheridge.com in full for any such commissions. Payments will be issued to each affiliate by the method they selected at the time of their Affiliate registration. The payment will be made payable to the affiliate in the name the affiliate submits in their online Affiliate application. Products offered for sale at a price point of $500 or over may offer different commission percentages, or a different commission structure, at the sole discretion of the www.aviewfromtheridge.com. All affiliates based in the United States of America are required to provide to www.aviewfromtheridge.com a properly executed W-9 form as prescribed by the Internal Revenue Service of the United States. 6) Tracking of www.aviewfromtheridge.com Sales: www.aviewfromtheridge.com is solely responsible for tracking affiliate sales to users that register using the Affiliate’s code. It is the affiliate’s sole responsibility to be sure their referred users sign up for www.aviewfromtheridge.com by inputting the affiliate’s code at registration or by such other method as designated by www.aviewfromtheridge.com. www.aviewfromtheridge.com will endeavor to do their best to ensure accurate tracking of referrals made by affiliates using the affiliate’s code. Notwithstanding the above statement of responsibility by www.aviewfromtheridge.com to track sales, affiliates hereby acknowledge and accept that the tracking system employed by www.aviewfromtheridge.com is not 100% fail-safe and that there may on occasion be instances of referral sales made that are not credited to an affiliate for any number of possible reasons, some of which might include: Failure of a user to sign up with a proper affiliate code; network, system or software errors that render it unable to accurately track affiliate sales for a period of time; acts of a nature that cause irretrievable data loss on the computers and back-up systems that store the affiliate commission information. As such, affiliates will not hold www.aviewfromtheridge.com liable to compensate for any claimed commissions that were not tracked and recorded by the www.aviewfromtheridge.com registration or computer system. www.aviewfromtheridge.com will make reasonable efforts to resolve any commission payable disputes with affiliates in the event of such failures. 7) Unsolicited Email: www.aviewfromtheridge.com has a "zero tolerance" policy for unsolicited emails or spam within the www.aviewfromtheridge.com network. Any www.aviewfromtheridge.com user identified as using such actions in the network will have their accounts immediately terminated with no recourse from the user as this is a violation of the www.aviewfromtheridge.com Terms of Use. 8) Affiliate Email Lists within the www.aviewfromtheridge.com network: www.aviewfromtheridge.com requires all users of the www.aviewfromtheridge.com to produce only distribution lists of individuals who have given permission to be in the user's www.aviewfromtheridge.com network of contacts. Violations of this policy can result in termination of www.aviewfromtheridge.com services for the user. 9) Relationship of Parties: You and www.aviewfromtheridge.com are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on behalf of www.aviewfromtheridge.com. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this www.aviewfromtheridge.com Agreement. 10) Miscellaneous: This Agreement will be governed by the laws of the United States and the State of Florida, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in the state of Florida, and the affiliate irrevocably consents to the jurisdiction of such courts. The affiliate may not assign this Agreement, by operation of law or otherwise, without the prior written consent from www.aviewfromtheridge.com. Subject to that restriction, this Agreement will be binding on, inure to the benefit of and be enforceable against the parties and their respective successors and assigns. The failure of www.aviewfromtheridge.com, to enforce the affiliate’s strict performance of any provision of this Agreement will not constitute a waiver of www.aviewfromtheridge.com's right to subsequently enforce such provision or any other provision of this Agreement.
